Welcome to ParheliaWeb ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our APIs and any related services (collectively, the "Service"), including the Funding Signal API, the Layoffs API, and the Email Validator API.
By using our API, you agree to these Terms. Please read them carefully.
If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to all the terms, you may not use the Service.
Our Privacy Policy also governs your use of the Service and explains how we collect, use, and share your personal information.
Funding Signal API & Layoffs API: We provide constantly updated databases of startup funding information and company layoff announcements. Our systems monitor publicly available sources to bring you fresh data.
Email Validator API: We provide real-time email address verification through syntax validation, domain checks, and SMTP handshake verification. Our systems perform read-only SMTP conversations with mail servers to confirm mailbox existence. No email content is ever sent, stored, or delivered.
We are constantly improving the Service, so it may change over time. We may suspend or discontinue any part of the Service without notice, but we will make reasonable efforts to notify you of significant changes that impact your use.
The Service is provided on a best-effort basis. While we strive for high availability, we do not guarantee uninterrupted access or any specific uptime percentage. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any damages resulting from Service interruptions or downtime.
In the event of Service unavailability exceeding 48 consecutive hours due to our infrastructure failure, we may, at our sole discretion, offer a service credit. This is not a guarantee and does not constitute a waiver of our SLA disclaimer.

Additional restrictions for Email Validator API:
You are fully responsible for maintaining the confidentiality of your API key. You are liable for all activities that occur under your API key, whether authorized by you or not. If you accidentally expose your key (e.g., in public code repositories), you are responsible for any resulting usage costs. If you believe your API key has been compromised, you must notify us immediately at info@parheliaweb.com. We reserve the right to rotate or revoke keys at our discretion.
We enforce rate limits based on your subscription tier, as published in our documentation. We reserve the right to temporarily throttle or suspend access if your usage exceeds these limits or if we detect abusive patterns, even within published limits, to protect the Service for all users.
Abusive patterns include but are not limited to: burst traffic designed to exhaust rate limits, rotating IP addresses to evade limits, using multiple free accounts to aggregate quota, or API calls with no legitimate business purpose.
For Funding Signal API & Layoffs API: The data you receive consists of factual information. While facts themselves are not copyrightable, the compilation, structure, selection, and arrangement of the data, as well as the underlying code and algorithms, are the exclusive property of ParheliaWeb and are protected by copyright and EU database rights.
For Email Validator API: The verification results, confidence scores, and risk assessments are generated by our proprietary algorithms. The underlying validation logic, blacklist database, and scoring methodology are the exclusive property of ParheliaWeb.
The license granted to you is a non-exclusive, non-transferable right to use the API for your internal business purposes only. You may not use the data to create a derivative work that competes with or substitutes for our Service.
Funding Signal API & Layoffs API: Our Service aggregates information from publicly available third-party sources. We respect robots.txt directives and website terms of service where technically feasible. We do not control, endorse, or assume responsibility for any third-party content. From time to time, data sources may become unavailable due to changes in third-party access policies. We do not guarantee uninterrupted availability of data from any specific source.
Data Integrity and Verification Process: The Funding Signal API and Layoffs API aggregate information from publicly available third-party sources using automated systems, followed by human review and verification. However, verification is not instantaneous. As a result:
We do not warrant the completeness, timeliness, or accuracy of any specific data point, including records marked as reviewed. You agree to independently verify critical data points before making business, investment, or legal decisions. If you encounter data that appears incorrect, you may report it to us at info@parheliaweb.com.
Email Validator API: Our Service performs SMTP handshakes with third-party mail servers to verify mailbox existence. These interactions are read-only — no email is delivered. We respect SMTP response codes (4xx and 5xx) and implement rate limiting to minimize impact on target servers. We are not responsible if a third-party mail server blocks, rate-limits, or returns inaccurate responses to our verification probes.

We provide our Service "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.
Funding Signal API & Layoffs API: You acknowledge that the Service relies on third-party public sources which are outside our control. We do not warrant that the data will be accurate, complete, or uninterrupted. You use the data at your own risk. The information provided is for informational purposes only and does not constitute financial, investment, legal, or professional advice.
Email Validator API: Email verification is inherently probabilistic. Some mail providers (including Microsoft Outlook, Hotmail, and Yahoo) do not provide definitive responses to mailbox existence checks. Results for these domains may be uncertain. We clearly indicate our confidence level with each result. You acknowledge that:
Funding Signal API & Layoffs API: We retain crawled data for as long as it remains relevant to the Service. We reserve the right to remove outdated records, correct inaccuracies, or delete data at our discretion.
Email Validator API: We retain hashed verification records for operational monitoring, blacklist improvement, and quota tracking. Validation results are cached temporarily to improve performance. See our Privacy Policy for specific retention periods.
Upon Cancellation or Termination: Your API key will be deactivated immediately upon cancellation or termination. You are responsible for exporting any data you wish to retain prior to cancellation. We do not provide bulk data exports after termination. Data obtained through our APIs during your active subscription may be retained by you subject to the restrictions in Section 7, but you will no longer have access to updates or new data.
We reserve the right to audit your API usage to verify compliance with these Terms. If we reasonably suspect abuse, scraping, or Terms violations, we may request access logs or usage records from you. Failure to cooperate may result in immediate suspension.
To the fullest extent permitted by law, we will not be liable to you for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, or business opportunities, whether incurred directly or indirectly, arising from your use of or inability to use the Service.
Our total liability to you for any claim arising out of or relating to these Terms or the Service is limited to the amount you paid us in the twelve (12) months prior to the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless ParheliaWeb and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your interpretation or use of the data provided, your violation of these Terms, or your violation of any third-party rights, including the rights of email address owners whose addresses you submit for verification.
Access to the API requires a paid subscription. All fees are listed on our pricing page in Euros (EUR) and are charged in advance on a recurring basis via Stripe. Your card will be charged in your local currency at the prevailing exchange rate.
Cancellation & Refunds: You may cancel your subscription at any time, which will take effect at the end of your current billing period. All fees are non-refundable, except as required by applicable law.
Chargeback Policy: Initiating a chargeback or payment dispute without first contacting us to resolve the issue constitutes a breach of these Terms. We reserve the right to suspend your account, report fraudulent chargeback activity to payment processors, and recover fees and costs associated with disputing the chargeback.
EU Consumer Notice: By subscribing to the Service, you expressly consent to the immediate performance of the Service and acknowledge that you thereby lose your right of withdrawal under Article 6:230p of the Dutch Civil Code.
We shall not be liable for any failure or delay in performing our obligations where such failure or delay is due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation, facilities, fuel, energy, labor or materials, or problems with internet service providers or hosting providers.
You may stop using the Service at any time. We may suspend or terminate your access to the Service immediately, without prior notice, if we believe you have violated these Terms, or for any other reason at our reasonable discretion. Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination (including limitation of liability, indemnification, and governing law) shall survive.
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email (if you have provided one) or through the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the new Terms.
These Terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts in the Netherlands.
To the extent permitted by law, you agree to resolve disputes on an individual basis and waive any right to participate in class or collective actions.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision. No waiver of any provision shall be effective unless made in writing and signed by the waiving party.
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and ParheliaWeb regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
